These Terms of Service ("Terms") govern your use of the Automate with Cass platform ("Service") operated by Automate with Cass ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
⚠️ Important: Please read these Terms carefully. By using our Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you:
- Confirm you are at least 18 years old
- Have the authority to enter into this agreement
- Agree to comply with all applicable laws and regulations
- Accept these Terms and our Privacy Policy
2. Description of Service
Automate with Cass provides a cloud-based platform for tax professionals to:
- Automate client document collection
- Classify tax documents using AI
- Send automated reminders to clients
- Track document submission status
- Integrate with Google Sheets for reporting
- Manage client communications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration
3.1 Account Creation
To use the Service, you must:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update your account information if it changes
- Be responsible for all activity under your account
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
4. Subscription Plans and Billing
4.1 Subscription Plans
We offer multiple subscription tiers:
- Starter: $49/month - 50 clients, 200 documents/month (no setup fee)
- Core: $99/month - 250 clients, 1,000 documents/month + $199 setup
- Team: $299/month - 500 clients, 5,000 documents/month + $399 setup
- Enterprise: $799/month - 3,000 clients, unlimited documents + $1,499 setup
4.2 Free Trial
We may offer a 14-day free trial. At the end of the trial:
- You will be notified 5 days before trial expiration
- You must provide payment information to continue
- If you don't subscribe, your account becomes read-only
- Trial is limited to one per customer
4.3 Billing
- Subscriptions are billed monthly in advance
- Payment is due on the same day each month
- We use Stripe for secure payment processing
- Failed payments may result in service suspension
- You authorize us to charge your payment method automatically
4.4 Overage Charges
If you exceed your plan's document limit:
- Overages are billed at $15 per 1,000 additional documents
- You will be notified when approaching your limit
- Overage charges appear on your next invoice
4.5 Refund Policy
All payments are final and non-refundable:
- No refunds for subscription fees (monthly or annual)
- No refunds for one-time setup fees
- No refunds for overage charges
- No refunds for any charges once services have been rendered
You may cancel your subscription at any time to prevent future charges. After cancellation, you retain access until the end of your current billing period.
Exceptions may be made only in cases of duplicate billing or clear processing errors, at our sole discretion. See our Refund & Cancellation Policy for complete details.
5. Cancellation and Termination
5.1 You May Cancel
- Cancel anytime from your account settings
- Cancellation takes effect at the end of your billing period
- You retain access until the end of the paid period
- No refunds for partial months
5.2 We May Terminate
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails and remains unpaid for 15 days
- You engage in fraudulent or illegal activity
- You abuse or misuse the Service
- Required by law
5.3 Effect of Termination
Upon termination:
- Your access to the Service ends immediately
- You have 30 days to export your data
- After 30 days, your data may be permanently deleted
- Outstanding fees remain due and payable
6. Acceptable Use Policy
You agree NOT to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Use the Service for illegal purposes
- Impersonate another person or entity
- Harass, abuse, or harm others
- Share your account with others
- Reverse engineer or copy the Service
- Use automated tools to access the Service (except via API)
- Resell or redistribute the Service
7. Intellectual Property
7.1 Our Rights
We retain all rights to:
- The Service, including all code, design, and functionality
- Our trademarks, logos, and brand materials
- All improvements and updates to the Service
7.2 Your Rights
You retain ownership of:
- Your account data
- Documents you upload
- Client information you provide
7.3 License Grant
By using the Service, you grant us a limited license to:
- Store and process your data to provide the Service
- Use AI to classify your documents
- Sync data to Google Sheets (if enabled)
- Create aggregated, anonymized analytics
8. Data and Privacy
8.1 Your Data
- You own your data
- You are responsible for the accuracy of your data
- You can export your data anytime
- We do not sell your data
8.2 Our Obligations
- We encrypt data in transit and at rest
- We implement reasonable security measures
- We comply with applicable privacy laws
- We maintain regular backups
8.3 Data Breaches
In the event of a data breach, we will:
- Notify affected users within 72 hours
- Take immediate steps to secure the Service
- Cooperate with law enforcement
- Report to regulatory authorities as required
9. Disclaimers and Limitations
9.1 Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
- Uninterrupted or error-free operation
9.2 AI Classification
Our AI document classification is provided for convenience but:
- May not be 100% accurate
- Should be reviewed by a human
- Does not constitute tax advice
- Is not a substitute for professional judgment
9.3 Third-Party Services
We are not responsible for:
- Stripe payment processing failures
- Google Sheets service interruptions
- Third-party integrations or APIs
- Your internet connection or device
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the amount you paid us in the past 12 months
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for lost profits, data loss, or business interruption
- We are not liable for acts of third parties
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your negligence or willful misconduct
12. Dispute Resolution
12.1 Informal Resolution
Before filing a claim, you agree to contact us at automatewithcass@gmail.com to attempt to resolve the dispute informally.
12.2 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
12.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive your right to participate in class action lawsuits.
13. Governing Law
These Terms are governed by the laws of the United States and the state where we operate, without regard to conflict of law principles.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending you an email notification
Your continued use after changes constitutes acceptance of the new Terms. If you don't agree, you must stop using the Service.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
15.4 Assignment
You may not assign these Terms. We may assign them to an affiliate or successor.
15.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
By using Automate with Cass, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
